General Terms and Conditions
- The following General Terms and Conditions apply to the contractual relationship between PA Localisation Ltd, 278 Langham Road, London, N15 3NP and its clients.
- PA Localisation Ltd is a “language service provider” that offers “document translation” as well as specialist services including “localisation services”, “video post-production” services and “publication support services” which includes “English editing” and “English Proofreading” as part of our “Scientific Editing” services.
- Texts with content and texts liable to prosecution that offend common decency may be rejected by PA Localisation Ltd – even after conclusion of the contract.
- Texts are usually submitted to PA Localisation Ltd by the client in electronic form. As a rule, the client also receives the translation in electronic form.
- Together with the order, the client must specify the field(s) of expertise that, in their opinion, the text relates to. It is in the client’s interest to provide this information with the greatest possible care. If client have specific terminology requirements, they must inform PA Localisation Ltd of these and provide appropriate reference material such as terminology lists, translation memories and the like. This approach should be applied to achieve the best possible translation results.
- It is the client’s responsibility to provide PA Localisation Ltd with the preferred spelling of personal names if the source language does not use the Latin alphabet (i.e. Arabic, Russian, Chinese, etc.), or if your document contains faded or handwritten sections. PA Localisation Ltd doesn’t offer refund due to misspellings. Correction requests of such misspelling after the hard copy was already posted may subject to an extra fee.
- Clients can choose whether they approve their text for translation from the outset, subject to acceptance of the order by PA Localisation Ltd, or to request PA Localisation Ltd in advance to prepare a quotation for the costs and time required for the translation. This quotation is free of charge and non-binding for both parties. The contract is effectively entered into if PA Localisation Ltd does not inform the client within two (2) working days after receipt of an order that PA Localisation Ltd cannot complete the order in the requested form.
- If it becomes apparent after acceptance of the order by PA Localisation Ltd that the order cannot be completed within the agreed period for valid reasons, PA Localisation Ltd will inform the client without delay.
- PA Localisation Ltd normally quotes translation fees per 1,000 words/characters of source text. If the calculation of the source word count is not possible, PA Localisation Ltd will quote fees per per page.
- The minimum order value for orders less than 400 words is between GBP 40.00 – GBP 55.00 depending on the language combination.
- PA Localisation Ltd undertakes to have the translation carried out in such a way that there are no omissions. Insignificant omissions will be disregarded.
- The finished translation will be checked by PA Localisation Ltd for completeness and data format as well as other deficiencies that are apparent at first glance, and then forwarded to the client. If the client does not raise any objections within 14 days, beginning at the end of the day on which the translation was sent to the client (documented for example by the transmission record), the translation is deemed to have been approved. In this case, the client waives all claims to which they might be entitled due to possible errors in the translation. If the client complains about an objective, not merely insignificant, deficiency within the 14-day period, this deficiency must be described as precisely as possible via email in writing. At the same time, the client must inform PA Localisation Ltd of the time frame within which the QA issues are to be rectified. PA Localisation Ltd will then arrange for the QA issues to be rectified within that period, provided it is reasonable, and otherwise within a reasonable period. This doesn’t cover preferential changes; very minor error such as minimal typos and omissions that do not affect the sense of the translated text, unless the client has commissioned proofreading services from PA Localisation Ltd. The client is only entitled to further rights due to translation QA issues if PA Localisation Ltd, one of its legal representatives or one of its agents has acted with intent or gross negligence. On the other hand, PA Localisation Ltd will be liable in the event of breach of essential contractual obligations and health in the event of any fault. In all cases, liability will be limited to foreseeable, typically occurring losses and does not include consequential losses or loss of profit.
- The client will endeavour to ensure that they allow reasonable time for translation and postage of documents. PA Localisation Ltd waives any responsibility/liability regarding delays in bureaucratic procedures on the client’s part, where reasonable time has not been allowed for the rendition of language services and the delivery whereof.
- During the provision of the services or for a period of twelve months thereafter, the client shall not solicit any supplier who have been engaged in the provision of the services.
- If the agreed completion date for a translation is exceeded by more than 48 hours, the client is entitled to reduce the agreed fee by 5% of the agreed fee for each additional full day (24 hours) of delay, provided that the delay is not due to force majeure. The client is only entitled to assert additional claims if PA Localisation Ltd, one of its legal representatives or one of its agents has acted with intent or gross negligence.
- The client may cancel the agreed language service in writing before the PA Localisation Ltd starts the job at no charge. If project-related work such as file engineering has been initiated by PA Localisation Ltd, fees will be paid in full unless prior agreement between PA Localisation Ltd and its clients states otherwise. Where payments for Certified Translations have been made in advance, an admin fee of £20.00 will be applied upon refund even where the translation has not been initiated. This is to cover administrative costs and project management.
- If the client cancels a language assignment after the linguist begins the job, PA Localisation Ltd will charge the client for the number of words translated up to that time (at the agreed rate) plus any file engineering, administrative and/or project management costs at a rate of £30.00 per hour. If more than 50% of the assignment as been completed, PA Localisation Ltd reserves the right to charge the service quotation value in full.
- PA Localisation Ltd will endeavour to ensure that it provides its clients with an adequately qualified linguistic resource for the services required. If a service that PA Localisation Ltd provides does not meet the Client’s satisfaction, PA Localisation Ltd will assess the queries, and, if deemed necessary, have the deliverables revised at no extra cost to the client.
- PA Localisation Ltd will charge the client the fee for the language service immediately after its completion or performance except for individual clients where the fee is collected prior to starting the job.
- PA Localisation Ltd reserves the right to charge a fixed late payment fee calculated at 10% of the value of the invoice(s), after the due date of the invoice(s) has been reached. If the full amount of the invoice, including the late payment fee and interest, has not reached our account thirty (30) calendar days after the invoice due date the debt will be passed to a debt collection agency to recover the full amount due on its behalf. Please note that a debt collection agency will issue their own charge to the Client for this service.
- Notwithstanding the above (data loss or data manipulation outside the sphere of influence of PA Localisation Ltd), PA Localisation Ltd shall keep confidential any facts and circumstances that become known in the course of performing the contract, unless PA Localisation Ltd is obliged to disclose the information due to an official or court order, statutory requirements, etc. The translators employed by PA Localisation Ltd will also be obligated by PA Localisation Ltd to maintain appropriate confidentiality.
- PA Localisation Ltd warrants that the client can use the translation without any limitation in the number of copies according to the notified intended purpose. The client is also entitled to edit the translation, as well as to transfer the rights to the translation to third parties by way of licence or otherwise. PA Localisation Ltd will indemnify the client against all claims by the translator. However, the copyrighted rights of use to the translation will only be transferred to the client after full payment of the fee. Conversely, the client guarantees that it is entitled to all rights to the text to be translated and that it is fully authorised to have the text translated. The client will indemnify PA Localisation Ltd against all claims in this respect.
- PA Localisation Ltd will keep confidential any facts and circumstances that become known in the course of performing the contract, unless PA Localisation Ltd is obliged to disclose the information due to an official or court order, statutory requirements, etc. The translators employed by PA Localisation Ltd will also be obligated by PA Localisation Ltd to maintain appropriate confidentiality.
- If parts of these terms and conditions are or become invalid, this shall not affect the validity of the remaining provisions. The contractual relationship between PA Localisation Ltd and the client shall be governed by and construed in accordance with the laws of England and Wales and shall be subject to the jurisdiction of the English Courts.
